01Acceptance of Terms

By accessing or using PrepLists (preplists.com), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the platform.

These Terms constitute a legally binding agreement between you and TechnoFrog LLC ("we", "us", "our"), registered at 8 The Green STE A, Dover, DE 19901, United States.

By creating an account, you confirm that you have read and understood these Terms, our Privacy Policy, and our Cookie Policy.

02About the Platform

PrepLists is a B2B logistics services marketplace that connects businesses seeking logistics services (buyers) with prep centers, warehouses, and transport service providers (service providers).

PrepLists is a marketplace, not a logistics provider. We do not provide, control, or guarantee any logistics services listed on the platform. All transactions and service agreements are directly between buyers and service providers.

03Eligibility

To use PrepLists, you must:

• Be at least 18 years of age
• Have the legal authority to enter into a binding agreement
• If registering on behalf of a business, have the authority to bind that business to these Terms
• Not have been previously suspended or removed from the platform

By using the platform, you represent and warrant that you meet all eligibility requirements.

04User Accounts

Registration

You must create an account to access most features of the platform. When registering, you agree to provide accurate, current, and complete information about yourself and your business.

Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately at [email protected] if you suspect any unauthorized access to your account.

Account Types

• User — browse listings, send quote requests, leave reviews, and communicate with service providers
• Partner — all User features, plus create and manage company profiles, locations, and service listings
• Logist / Transportist — specialized roles for logistics and transport professionals

Team Members

Partners may invite team members to manage their company profile. The account owner is responsible for all actions taken by their team members on the platform.

05Business Listings

Service providers may create listings for their locations and services on PrepLists. By publishing a listing, you agree to the following:

• All information in your listing (services, pricing, descriptions, photos) must be accurate and up-to-date
• You must have the legal right to offer the services described in your listing
• Pricing information must reflect actual prices — misleading or bait-and-switch pricing is prohibited
• Photos must depict your actual facility — stock photos or images of other facilities are not allowed
• You are solely responsible for the content of your listings

We reserve the right to remove or unpublish any listing that violates these Terms, contains inaccurate information, or receives verified complaints from other users.

06Verification

PrepLists offers a voluntary verification process for service providers. Verified listings display a trust badge indicating that we have reviewed basic business documentation.

Important: Verification confirms only that a business has submitted documents for review. It does not constitute an endorsement, guarantee of service quality, or warranty of any kind. We are not responsible for the performance, reliability, or conduct of any verified or unverified service provider.

Documents submitted for verification (business licenses, tax certificates, incorporation documents) are accessible only to PrepLists administrators and are handled in accordance with our Privacy Policy.

07Messaging & Quote Requests

Registered users may send messages and quote requests to service providers through the platform. When using these features, you agree to:

• Use messaging for legitimate business inquiries only
• Not send spam, promotional content, or unsolicited advertising
• Not harass, threaten, or abuse other users
• Not share illegal content or content that violates third-party rights
• Not attempt to circumvent the platform to avoid fees or tracking

We may monitor messages for compliance with these Terms and to prevent fraud or abuse. We reserve the right to suspend messaging privileges for users who violate these rules.

08Reviews & Ratings

Registered users may leave reviews and ratings for locations they have interacted with. By submitting a review, you agree to the following:

• Reviews must be based on genuine experience with the service provider
• Reviews must be honest, accurate, and not misleading
• You may not submit fake reviews (positive or negative) for any location
• You may not offer or accept compensation in exchange for reviews
• Reviews must not contain personal attacks, hate speech, profanity, or illegal content
• You may not review your own business or the business of a competitor with the intent to deceive

We reserve the right to remove reviews that violate these guidelines or that we reasonably believe to be fraudulent. Service providers may respond to reviews publicly.

By submitting a review, you grant PrepLists a non-exclusive, worldwide, royalty-free license to display, reproduce, and distribute your review content on the platform.

Review Invitations (Partners)

Service providers can invite their customers to leave reviews via personal email links, public links, QR codes, or embeddable widgets. By using the invitation system, partners agree to the following:

• You may only send personal invitation emails to customers who actually received the service from your location, with a legitimate basis for contacting them
• Invitation emails must not be used for marketing, promotional content, surveys, or any communication unrelated to a specific service experience
• You are solely responsible for ensuring you have the legal right to email each recipient and that the email address was obtained lawfully
• Recipients have the right to unsubscribe at any time via the link included in every email; the system enforces this automatically
• We may apply rate limits and detect abuse — repeated complaints, high bounce rates, or attempts to circumvent unsubscribe will result in account suspension
• Reviews submitted via personal invitations carry a "Verified Customer" badge — falsifying or coercing such reviews is a serious violation
• Public links and embedded widgets do not grant the verified badge; reviews from these channels still pass standard moderation

Reviewer Accounts

When you submit a review through an invitation without an existing PrepLists account, a minimal "guest" record is created so that your review can be attributed and managed. You may, at any point during submission, opt to convert this into a full account. Guest records cannot be used to log in until they are activated through the standard registration process.

09AI-Powered Features

PrepLists offers an AI-powered onboarding assistant to help service providers set up their company profile, locations, and services. By using this feature:

• You acknowledge that your conversation messages and business data are processed by third-party AI providers (OpenRouter / OpenAI) to generate responses
• AI-generated content (descriptions, suggestions) should be reviewed by you before publishing — you are responsible for the accuracy of your published content
• Do not share sensitive information (passwords, full bank account numbers, social security numbers, confidential documents) through the AI chat
• Any data you voluntarily submit to the AI assistant is processed by third-party providers and PrepLists cannot guarantee its retrieval or deletion from those systems
• AI responses are provided "as is" and may contain errors — they do not constitute professional advice

You may choose not to use the AI assistant and configure your profile manually at any time.

10Subscriptions & Payments

PrepLists currently offers a free plan for all users. We may introduce paid subscription plans in the future that provide additional features and higher limits.

When Paid Plans Are Available

• Subscription fees, billing intervals, and included features will be clearly displayed before purchase
• Payments are processed securely through Stripe and/or Payoneer — we never store your full payment credentials
• Subscriptions may auto-renew at the end of each billing period unless canceled before the renewal date
• You may cancel your subscription at any time from your account settings — access to paid features will continue until the end of the current billing period
• Refunds are handled on a case-by-case basis — contact us at [email protected] for refund inquiries

We reserve the right to change pricing at any time. Existing subscribers will be notified at least 30 days before any price change takes effect on their account.

11Intellectual Property

Our Content

The PrepLists platform, including its design, logo, code, features, and documentation, is the property of TechnoFrog LLC and is protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the platform without our written consent.

Your Content

You retain ownership of the content you submit to the platform (listings, photos, descriptions, reviews, messages). By submitting content, you grant PrepLists a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content as necessary to operate the platform.

You represent that you own or have the necessary rights to all content you submit, and that your content does not infringe on the intellectual property rights of any third party.

12Prohibited Conduct

When using PrepLists, you agree not to:

• Provide false, misleading, or inaccurate information in your profile, listings, or reviews
• Impersonate another person or business
• Use the platform for any illegal purpose or in violation of any applicable laws
• Scrape, crawl, or use automated tools to extract data from the platform without our consent
• Attempt to gain unauthorized access to other user accounts or platform systems
• Interfere with or disrupt the platform's infrastructure or other users' experience
• Upload malicious files, viruses, or harmful code
• Use the platform to send spam or unsolicited communications
• Manipulate reviews, ratings, or search rankings through fraudulent means
• Circumvent any security measures, access controls, or usage limits
• Create multiple accounts to evade suspension or restrictions

Violation of these rules may result in immediate account suspension or termination, at our sole discretion.

13Disclaimers & Limitation of Liability

Platform "As Is"

PrepLists is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. We do not guarantee that the platform will be uninterrupted, error-free, or secure at all times.

No Endorsement

Listing a service provider on PrepLists does not constitute an endorsement, recommendation, or guarantee of their services. We do not verify the quality, safety, legality, or accuracy of any services offered by providers on the platform.

Third-Party Transactions

All agreements, transactions, and disputes between buyers and service providers are solely between those parties. PrepLists is not a party to any such agreement and is not responsible for any loss, damage, or dispute arising from interactions between users.

Limitation of Liability

To the maximum extent permitted by law, TechnoFrog LLC and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of the platform.

Our total aggregate liability to you for any claims arising from or related to these Terms or the platform shall not exceed the total amount you paid to us in the 12 months preceding the claim, or $100 USD, whichever is greater.

14Termination

By You

You may delete your account at any time through your account settings or by contacting us at [email protected]. Upon deletion, your personal data will be handled in accordance with our Privacy Policy.

By Us

We may suspend or terminate your account at any time, with or without notice, if we reasonably believe that you have violated these Terms, engaged in fraudulent activity, or pose a risk to the platform or other users.

Effect of Termination

• Your listings will be unpublished and no longer visible to other users
• You will lose access to your account and all associated data
• Any outstanding payment obligations survive termination
• Sections of these Terms that are intended to survive termination (Disclaimers, Limitation of Liability, Dispute Resolution) will remain in effect

15Dispute Resolution

Between Users

PrepLists offers a dispute resolution system to help mediate disagreements between buyers and service providers. While we will make reasonable efforts to assist, we are not obligated to resolve any dispute and our involvement does not make us a party to the underlying transaction.

Between You and PrepLists

Any disputes arising from these Terms or your use of the platform shall be governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Before filing any formal legal proceeding, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.

16Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by posting a notice on the platform and updating the "Last updated" date at the top of this page. For significant changes, we may also send an email notification.

Your continued use of the platform after changes are posted constitutes acceptance of the updated Terms. If you do not agree to the new Terms, you must stop using the platform and delete your account.
